Important healthcare-data restriction: Unless you and Interoplayer have executed a Business Associate Agreement expressly covering the Service, you must not submit protected health information or use the Service in a manner regulated by HIPAA.
1. Agreement and authority
These Terms of Service (the “Terms”) are a binding agreement between Interoplayer (“Interoplayer,” “we,” “us,” or “our”) and the person or organization that accesses or uses the Service (“Customer,” “you,” or “your”). “Service” means the Interoplayer website, dashboard, APIs, documentation, software, sandbox and production environments, translation functionality, synchronous response parsing, and related support services.
By creating an account, accepting these Terms, executing an order form, or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service for an organization, you represent that you have authority to bind that organization, and “Customer” means that organization. If you lack that authority, you must not accept these Terms or use the Service for it.
The Service is offered for business use and is not a consumer service. You must be at least 18 years old and legally capable of entering into this agreement.
2. Orders and order of precedence
A checkout page, ordering document, statement of work, or other order accepted by both parties is an “Order.” If documents conflict, the following order controls only to the extent of the conflict: an executed Business Associate Agreement (“BAA”) for protected health information (“PHI”); an executed data processing addendum; an Order; these Terms; and the Documentation. An Order changes these Terms only if it identifies the provision being changed and is accepted by an authorized representative of Interoplayer.
3. Accounts, workspaces, and credentials
You must provide accurate account and billing information and keep it current. You are responsible for all activity performed through your workspace, users, API keys, and other credentials, including activity by contractors and integrations you authorize.
Credentials must be kept confidential, used only in their intended environment, and revoked promptly if compromise is suspected. You must notify us promptly through the contact method on our website of unauthorized account access or credential exposure. You may not sell, transfer, sublicense, publish, or share credentials outside your organization except with service providers acting for you under appropriate confidentiality and security obligations.
4. Access to the Service
Subject to these Terms and payment of applicable fees, Interoplayer grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right during the subscription term to access and use the Service to operate Customer’s products, services, and business workflows in accordance with the Documentation and applicable usage limits.
Sandbox features are for evaluation and testing with synthetic, de-identified, or otherwise non-regulated data. Sandbox output must not be used for production healthcare, payment, eligibility, claim, or other consequential decisions. We may modify or discontinue free, preview, beta, or sandbox features at any time.
5. Customer responsibilities
You are solely responsible for:
- the legality, accuracy, quality, and completeness of Customer Data;
- obtaining every authorization, consent, notice, agreement, and legal basis required to submit and process Customer Data;
- configuring sender, receiver, payer, provider, trading-partner, and clearinghouse identifiers correctly;
- validating outputs before relying on or transmitting them;
- determining whether a transaction is accepted by the intended payer, clearinghouse, regulator, or trading partner;
- maintaining your systems, network security, backups, business-continuity procedures, and endpoint availability; and
- complying with applicable law, contracts, payer rules, implementation guides, coding rules, and trading-partner requirements.
Interoplayer translates supported structures and reports identified validation issues. It does not replace professional coding review, compliance review, payer adjudication, clearinghouse validation, or Customer’s own quality controls.
6. Prohibited use
You must not, and must not permit anyone to:
- use the Service unlawfully, fraudulently, deceptively, or to violate another person’s rights;
- submit PHI unless an effective BAA expressly authorizes that use;
- submit payment-card data, authentication secrets, or other data that the Documentation does not expressly support;
- use output without appropriate human or automated validation in a manner that could determine diagnosis, treatment, patient safety, legal rights, payment, or benefits;
- circumvent quotas, rate limits, access controls, or security measures;
- probe, scan, penetrate, disrupt, overload, or test the Service without our prior written authorization;
- introduce malware or use the Service to transmit malicious code;
- reverse engineer or attempt to derive non-public source code, except where a restriction is prohibited by law;
- resell or provide the Service as a service bureau unless an Order expressly permits it; or
- use the Service to build or benchmark a competing product without our written consent.
7. Healthcare data and HIPAA
Customer is solely responsible for determining whether Customer Data includes PHI and whether Customer is a covered entity, business associate, or otherwise subject to HIPAA or another health-privacy law. The parties do not intend these Terms alone to constitute a BAA.
No BAA, no PHI. Unless the parties have executed a BAA covering Customer’s use, Customer represents and warrants that it will not create, receive, maintain, or transmit PHI through the Service. Any unauthorized submission is a material breach. Customer remains responsible for that submission, for legally required notices to affected persons or authorities arising from Customer’s acts or omissions, and for stopping and remediating the unauthorized use.
If a BAA is in effect, it governs our respective duties concerning PHI and controls over conflicting language in these Terms. Nothing in these Terms excludes, transfers, or limits a duty or liability that applicable law imposes directly on Interoplayer and does not permit either party to use or disclose PHI unlawfully.
8. Translation output and clearinghouses
The Service is a technical transformation tool. It is not a healthcare provider, payer, clearinghouse adjudicator, attorney, accountant, medical coder, or medical device, and it does not provide medical, legal, coding, reimbursement, eligibility, coverage, or compliance advice.
Standards, payer rules, companion guides, implementation guides, code sets, and clearinghouse requirements change and can vary by recipient. We do not warrant that output will be complete, error-free, payable, accepted, compliant with every trading-partner rule, or fit for a particular transaction. An acknowledgment, eligibility response, claim status, remittance, or other translated response is information from its source—not a promise by Interoplayer of coverage, payment, or correctness. Customer must review errors and validate consequential transactions independently.
9. Customer Data and data handling
“Customer Data” means data submitted to the Service by or for Customer and output generated specifically from that data. As between the parties, Customer retains its rights in Customer Data. Customer grants Interoplayer a limited right to host, copy, transmit, transform, and otherwise process Customer Data only as reasonably necessary to provide, secure, support, and comply with law concerning the Service.
Translation and clearinghouse-response parsing process request and response bodies in memory and return the result in the same HTTP request. The Service does not provide asynchronous response storage, polling, or customer response webhooks. Operational, security, account, billing, audit, and usage metadata may be retained as described in the Privacy Policy.
Customer must not place PHI, patient identifiers, claim content, or other sensitive content in API keys, idempotency keys, URLs, support messages, account profiles, billing fields, or other fields not designated for transaction content.
10. Security and incidents
We will maintain administrative, technical, and organizational safeguards reasonably designed for the nature of the Service. No system or transmission method is completely secure, and we do not guarantee that unauthorized access, loss, or interruption can never occur. Customer must use appropriate encryption, access controls, least-privilege permissions, credential rotation, endpoint signature verification, monitoring, and incident-response procedures.
Security and breach-notification duties concerning PHI, if any, are governed by an effective BAA and applicable law. Customer must provide timely cooperation and accurate information reasonably required to investigate an incident attributable to Customer’s systems, credentials, users, integrations, or instructions.
11. Third-party services
The Service interoperates with third-party identity, hosting, payment, network, clearinghouse, payer, and customer-controlled services. Those services are governed by their own terms. We are not responsible for third-party systems, decisions, outages, changes, rejections, security, data practices, or acts and omissions. Customer’s relationship with a payer, clearinghouse, or trading partner is solely between Customer and that party unless an Order expressly states otherwise.
12. Plans, operations, and billing
One operation is one API request containing up to 100 documents. Plan allowances, request limits, concurrency, included features, and overage rates are shown at checkout, in the dashboard, or in an Order and may vary by environment.
Paid subscriptions renew automatically for the selected monthly or annual period until canceled. You authorize us and our payment processor to charge recurring subscription fees, metered overages, applicable taxes, and other disclosed charges. You can cancel through the billing portal before renewal; cancellation takes effect at the end of the current paid period unless otherwise stated. Except where law or an Order requires otherwise, fees and consumed usage are non-refundable. Failed or overdue payment may result in restriction or suspension after any legally required notice.
We may change future prices or plan terms with reasonable advance notice. A price change applies no earlier than the next renewal period following the notice unless you expressly agree otherwise.
13. Intellectual property and feedback
Interoplayer and its licensors retain all rights in the Service, Documentation, software, models, mappings, designs, trademarks, and technology, including improvements and derivative works. No rights are granted except those expressly stated in these Terms.
If you provide suggestions or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or attribution, provided we do not publicly identify you as its source without permission.
14. Confidentiality
Each party may receive non-public information identified as confidential or that reasonably should be understood as confidential. The receiving party will use it only to perform under this agreement, protect it with reasonable care, and disclose it only to personnel and providers who need it and are bound by confidentiality obligations. These duties do not cover information the receiving party can document was lawfully known without restriction, independently developed, rightfully received from another source, or publicly available without breach. Legally compelled disclosure is permitted after notice when legally allowed.
15. Suspension and termination
We may suspend or limit access when reasonably necessary to prevent or address a security risk, unlawful activity, harm to the Service or another customer, breach of these Terms, nonpayment, excessive use, or a third-party or legal requirement. Where practical, we will provide notice and work to narrow or end the suspension once the issue is resolved.
Either party may terminate for an uncured material breach after 30 days’ written notice, or immediately if the breach cannot reasonably be cured, continued performance would violate law, or the other party becomes insolvent. You may stop using a free plan at any time and may cancel a paid subscription as described above. On termination, your access ends and outstanding amounts become due. Provisions intended by their nature to survive will survive, including payment, ownership, confidentiality, disclaimers, indemnity, liability limits, and dispute terms.
16. Disclaimer of warranties
To the maximum extent permitted by law, the Service, sandbox, documentation, and all outputs are provided “as is” and “as available.” Interoplayer disclaims all express, implied, statutory, and other warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, interoperability, regulatory compliance, and results. We do not warrant that the Service will be uninterrupted or error-free, that defects will be corrected, or that any transaction will be accepted, paid, adjudicated, acknowledged, or compliant with a particular payer, clearinghouse, code set, companion guide, or law.
17. Customer indemnification
To the extent permitted by law, Customer will defend, indemnify, and hold harmless Interoplayer and its owners, personnel, contractors, and affiliates from third-party claims, regulatory proceedings, damages, penalties, judgments, settlements, and reasonable legal fees arising from or related to: Customer Data; Customer’s products or services; Customer’s users, credentials, systems, integrations, instructions, or use of output; breach of these Terms; violation of law or another party’s rights; unauthorized submission of PHI; or Customer’s payer, provider, clearinghouse, patient, or trading-partner relationship. Interoplayer will provide reasonable notice, permit Customer to control the defense subject to our right to participate, and provide reasonable cooperation at Customer’s expense. Customer may not settle a claim in a manner that admits fault by or imposes obligations on Interoplayer without our written consent.
18. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, business, goodwill, use, or data, even if advised of their possibility. To the maximum extent permitted by law, Interoplayer’s aggregate liability arising out of or related to the Service and these Terms will not exceed the greater of one hundred U.S. dollars or the fees Customer paid to Interoplayer for the Service during the twelve months before the event giving rise to the claim.
These exclusions and limits apply regardless of the legal theory and allocate risk between the parties. They do not limit payment obligations, Customer’s indemnification obligations, or liability that cannot lawfully be excluded or limited. Some jurisdictions do not permit certain exclusions, so those exclusions apply only to the extent permitted there.
19. Changes
We may update these Terms. We will post the revised version with its effective date and provide reasonable advance notice of material changes through the Service or the account email. Material changes will apply prospectively. If you do not agree, you must stop using the Service and cancel before the changes take effect. Continued use after the effective date constitutes acceptance where permitted by law.
20. General
Neither party may assign this agreement without the other’s consent, except that Interoplayer may assign it in connection with a merger, reorganization, financing, sale of assets, or transfer to an affiliate. Customer may not assign it to a competitor of Interoplayer. Neither party is liable for delay caused by events beyond its reasonable control, except for payment obligations.
The parties are independent contractors. These Terms do not create a partnership, fiduciary, agency, employment, or third-party-beneficiary relationship. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions remain effective. Headings are for convenience only. These Terms and incorporated documents are the entire agreement concerning the Service and supersede prior proposals or communications on that subject.
21. Governing law and disputes
Before filing a claim, each party will give the other written notice describing the dispute and will attempt in good faith for 30 days to resolve it. These Terms are governed by the laws applicable at Interoplayer’s principal place of business, without regard to conflict-of-law rules. The parties consent to the exclusive jurisdiction of courts of competent jurisdiction serving that place, except that either party may seek injunctive relief in any appropriate jurisdiction to protect security, confidentiality, or intellectual property. Mandatory rights and venues that cannot legally be waived remain unaffected.
22. Contact
Legal notices to Interoplayer must be sent to legal@interoplayer.dev. Operational or support requests should use the contact method provided in the Service. Notices to Customer may be sent to the account email or displayed in the Service and are effective when sent or posted.
